Licensing Policy

1. Overview
This Licensing Policy governs the purchase, activation, installation, use, payment, cancellation, deactivation, reassignment, and termination of licenses for Portweaver.
This policy applies to:
- The Portweaver application
- Portweaver license key files
- License activation & deactivation services
- License management through a Portweaver account
- Paid, free, fixed-term, installment, and perpetual licenses where offered
By purchasing, downloading, activating, installing, or using Portweaver, you agree to this Licensing Policy and our Terms of Service.
If you use Portweaver on behalf of a business or other organization, you represent that you have authority to accept this policy on its behalf.
Specific terms shown in a quote, invoice, checkout page, order form, account entitlement, or other written agreement are referred to in this policy as an Order. If an Order conflicts with this policy, the Order controls for that specific license.
2. Definitions
For purposes of this policy:
- Account means the Portweaver website account associated with a license
- Customer, you, and your mean the person or organization that obtains or uses a license
- Deactivation Key means the code generated when a license is locally deactivated from a Portweaver server
- Device ID means the unique identifier generated by a Portweaver server for license assignment
- License means the limited right to use Portweaver under the applicable Order and this policy
- License Key File means the signed file issued for installation on an assigned Portweaver server
- License Term means the period during which a license is valid
- Licensed Server means the Portweaver server whose Device ID is assigned to a license
- Managed Device Limit means the maximum number of network devices that the license permits Portweaver to actively manage
- Perpetual License means a license expressly identified as perpetual in an Order
- Portweaver, Software, and application mean the proprietary Portweaver network-management software and its related components
3. Ownership
Portweaver is licensed, not sold.
Portweaver and its original components, including its source code, object code, design, interfaces, documentation, branding, licensing systems, and related intellectual property, remain the exclusive property of Portweaver and its owner.
A license does not transfer to you any ownership interest in Portweaver or any right to:
- Obtain or possess Portweaver source code
- Claim ownership of Portweaver or its components
- Register or use Portweaver trademarks or branding
- Sell, sublicense, publish, or commercially distribute Portweaver
- Create derivative products based on proprietary Portweaver components, except as expressly permitted in writing
Third-party and open-source components included with Portweaver remain subject to their respective licenses. Nothing in this policy limits rights that those separate licenses expressly grant.
4. License Grant
Subject to payment of all applicable charges and compliance with this policy, Portweaver grants you a limited, non-exclusive, non-sublicensable, and non-transferable right to:
- Install and operate Portweaver on one Licensed Server for each license
- Allow your authorized employees and contractors to use that Licensed Server for your internal operations
- Manage network devices up to the Managed Device Limit
- Make reasonable archival or backup copies of the License Key File, provided those copies are used only with the assigned Licensed Server
- Use the Software during the applicable License Term
You are responsible for the actions of anyone who uses Portweaver through your Account or within your environment.
Unless an Order expressly states otherwise, a license is limited to your own internal use and may not be used to provide hosted, managed, time-sharing, rental, or service-bureau access to unrelated third parties.
5. License Parameters
Each license may include specific parameters, including:
- A License Term
- A Managed Device Limit
- An assigned Account
- An assigned Device ID
- A payment schedule
- A release or update channel
- Additional terms stated in the applicable Order
These parameters are part of the license and may not be altered except through Portweaver’s authorized licensing services or a written agreement.
A license permits one Portweaver server assignment at a time. A separate active license is required for each additional Portweaver server unless an Order expressly provides otherwise.
Portweaver may offer limited free or unlicensed functionality. Free or unlicensed limits are not part of a paid entitlement and may change for future versions or releases. Devices exceeding the active Managed Device Limit may remain stored or visible in Portweaver but may be prevented from connecting, updating, or being actively managed.
6. Activation & Device Binding
Portweaver licenses are assigned through a Portweaver Account and installed using a signed License Key File.
To activate a license:
- The Portweaver server generates and displays its Device ID
- You assign an available license to that Device ID through your Account
- Portweaver issues a License Key File for that specific assignment
- You install the License Key File on the matching Portweaver server

A License Key File is valid only for the Device ID for which it was issued. A License Key File issued for one server may not be installed or used on another server.
An assigned License Key File may be downloaded again for the same Licensed Server while the license remains active and available for download.
You are responsible for confirming that the correct Device ID is used before activating a license.
7. Offline License Operation
Portweaver is designed to verify and enforce licenses locally.
The Portweaver application does not require continuous communication with Portweaver’s website or licensing services to remain activated. License signatures, Device ID binding, expiration, and Managed Device Limits are evaluated by the local installation.
Because license enforcement is local:
- Portweaver cannot ordinarily deactivate an installed license remotely
- Removing or releasing an assignment from an Account does not alter an inaccessible local installation
- Local deactivation does not automatically update the Account
- The Account and the local installation may temporarily show different licensing states until the deactivation process is completed
- Loss of internet access does not extend a License Term or change its limits
You remain legally responsible for complying with this policy even when an offline installation cannot be remotely restricted.
8. Deactivation & Reassignment
A license must be properly deactivated before it can be reassigned to another Portweaver server.
The normal deactivation process requires you to:
- Deactivate the license from the Licensed Server
- Copy the Deactivation Key generated by that server
- Submit the Deactivation Key through the Account that owns the license
- Allow the Account to verify the key and release the server assignment
After successful release:
- The previous Device ID assignment is removed
- The license becomes available for activation on another server, if it has not expired
- A newly assigned server requires a newly issued License Key File
- The previous License Key File is no longer authorized for use

Locally deactivating Portweaver does not by itself release the license in your Account. Likewise, an Account-side action cannot complete normal local deactivation without a valid Deactivation Key.
Portweaver may retain the most recent local deactivation details until another license is successfully activated. You are responsible for preserving and submitting the correct Deactivation Key before replacing it with a later activation or deactivation record.
9. Lost, Destroyed, or Inaccessible Servers
If the Licensed Server is permanently lost, destroyed, or inaccessible and normal deactivation cannot be completed, you may request an administrative release by contacting Portweaver support.
We may require reasonable evidence that:
- You no longer control or possess the installation
- The server, storage, or virtual machine is no longer accessible
- Recovery of the local licensing state is not reasonably possible
- The request is not an attempt to duplicate or extend a license
Administrative release is intended for exceptional recovery situations and is not a substitute for normal deactivation.
Approval of an administrative release:
- Releases the Account-side assignment
- Does not remotely alter or deactivate the inaccessible local installation
- May be conditioned on additional verification or a written certification
- May be denied or delayed where ownership, access, payment, or misuse is disputed
Where this policy makes a refund or early termination dependent on deactivation, an approved administrative release may satisfy that requirement. Unless otherwise stated in writing, the effective release date is the date Portweaver approves the administrative release.
10. License Expiration
A fixed-term license expires at the time recorded in its License Key File and Account record.
After expiration:
- Paid license limits and paid entitlements no longer apply
- Portweaver may return to its then-current free or unlicensed limits
- Devices beyond those limits may remain stored but may not be actively managed
- The expired license cannot be activated on another server
- The expired License Key File may no longer be used
- Deactivation may no longer be available for purposes of reassignment
- The expired license may remain visible for account, billing, or support records
Expiration does not automatically renew a license unless automatic renewal was clearly stated and accepted in the applicable Order.
11. Perpetual Licenses
A license is perpetual only when an Order expressly identifies it as perpetual.
A Perpetual License does not expire solely because of time. Unless the applicable Order expressly states otherwise, a Perpetual License remains subject to:
- Its Managed Device Limit
- One-server assignment
- Device binding
- Activation and deactivation requirements
- Use restrictions
- Payment obligations
- Termination for material breach
The word perpetual describes the duration of the right to use the licensed Software. It does not by itself include:
- Ownership of Portweaver
- Access to source code
- Unlimited managed devices
- Unlimited server installations
- Future products or separately licensed features
- Perpetual support, maintenance, hosting, or professional services
- Every future major version or paid upgrade
- A right to transfer or resell the license
Refund, cancellation, update, and support rights for a Perpetual License are governed by its Order. The standard fixed-term refund provisions below do not apply unless the Order expressly incorporates them.
12. Payment Options
The payment option, total price, License Term, and payment schedule for a license will be stated in the applicable Order.
Portweaver may offer the following payment structures.
Prepaid Fixed-Term License
A prepaid fixed-term license is paid in full before or at the beginning of the License Term.
The payment purchases the right to use Portweaver for the entire stated License Term, subject to this policy.
A prepaid fixed-term license may qualify for an early-termination refund under Section 13 after the license is successfully deactivated and released.
Fixed-Term License Paid in Installments
A fixed-term license paid in monthly or other periodic installments is a commitment for the full License Term. It is not a month-to-month subscription unless the Order expressly describes it as one.
The installment amount is a payment schedule for the total fixed-term commitment. Merely stopping use, removing a payment method, uninstalling Portweaver, closing an Account, or asking to cancel does not by itself complete early termination.
To end future installments before the scheduled end of the License Term, you must:
- Successfully deactivate and release the license, or receive an approved administrative release
- Submit any required cancellation request
- Pay all amounts due through the effective termination date
After those requirements are completed, no installments scheduled after the effective termination date will be charged, except for amounts already due, disputed, reversed, or otherwise owed under the Order.
Month-to-Month or Automatically Renewing License
A license is month-to-month or automatically renewing only when the Order clearly states that structure.
For any such offering, the Order will disclose:
- The amount and frequency of charges
- The renewal period
- The method for stopping future recurring charges
- The effective date of cancellation
- Any separate requirement to deactivate or release the license for reassignment or refund purposes
Stopping future recurring charges and releasing a server assignment are separate actions unless the Order clearly states otherwise.
13. Cancellation, Early Termination, and Refunds
Cancellation and refund rights depend on the applicable payment structure and any additional terms shown in the Order.
Prepaid Fixed-Term Licenses
You may request early termination of a prepaid fixed-term license.
Except where required otherwise by law or an Order, a refund is available only after:
- The license has been successfully deactivated from the Licensed Server and released through the Account; or
- Portweaver has approved an administrative release for an inaccessible server
Once release is verified, the refundable amount will be calculated from the actual license fee paid for the unused portion of the License Term.
Unless an Order states a different method:
- Proration is calculated on a daily basis
- The unused period begins on the effective release date
- The unused period ends on the original license expiration date
- Time before the effective release date is nonrefundable
- Discounts are reflected in the amount actually paid
- Taxes, government charges, and separately stated services are refunded only when required by law or expressly stated in the Order
No refund is owed for time during which the license remained assigned and available for use.
Refunds may be denied for fraudulent purchases, chargeback abuse, forged deactivation information, license circumvention, or other material violations of this policy, except where applicable law requires otherwise.
Fixed-Term Licenses Paid in Installments
Amounts paid or due through the effective termination date are nonrefundable unless an Order or applicable law states otherwise.
After successful deactivation and release, or an approved administrative release:
- The fixed-term commitment ends on the effective termination date
- Installments scheduled after that date are canceled
- Amounts already due remain payable
- No refund is provided for elapsed license time
Until release is completed or an administrative exception is approved, the fixed-term payment obligation continues according to the Order.
Expired Licenses
Expiration is not an early cancellation. Payments for an elapsed License Term are nonrefundable unless required by law or expressly stated in the Order.
Refund Processing
Approved refunds will be returned using a reasonable available method. Processing time may vary depending on the original payment method and financial institutions involved.
Nothing in this policy limits any non-waivable refund, cancellation, or consumer right provided by applicable law.
14. Renewals & Payment Failure
A license does not automatically renew unless automatic renewal was clearly disclosed and accepted in the applicable Order.
Where renewal is offered:
- Renewal pricing and the new License Term may differ from the prior term
- Renewal may require payment before the existing license expires
- Failure to renew may cause the license to expire and return Portweaver to free or unlicensed limits
If a payment is late, declined, reversed, disputed, or otherwise unpaid, Portweaver may, subject to applicable law:
- Suspend Account-side license services
- Prevent future License Key File downloads
- Restrict update or release downloads
- Decline activation, reassignment, or renewal requests
- Terminate or revoke the Account-side license entitlement
- Seek payment of amounts properly due under the Order
Because Portweaver operates offline, an Account-side suspension or revocation may not immediately disable an already installed License Key File. That technical limitation does not waive payment obligations or authorize continued use after the legal license has ended.
15. Updates, Downloads, and Support
Unless an Order states otherwise:
- A license grants use of Portweaver, not a guarantee of any particular future feature
- Updates may be offered by release channel, version, platform, or license status
- Access to beta or preview releases may require an active paid license
- Portweaver may stop supporting obsolete versions or platforms
- Support, consulting, migration, installation, and other professional services are not included unless expressly stated
- An expired or terminated license may lose access to future downloads and updates
A License Key File may remain available for re-download while its license is active and assigned to the same server. Availability of application installers, updates, and historical releases may be subject to separate retention and support policies.
16. License & Technical Restrictions
Except to the extent expressly permitted by applicable law or a separate written agreement, you may not, and may not assist another person to:
- Circumvent, bypass, disable, defeat, remove, or interfere with Portweaver licensing or access controls
- Alter, forge, counterfeit, duplicate, share, sell, or improperly transfer a License Key File, activation credential, Device ID, Deactivation Key, signature, or other licensing record
- Modify, patch, hook, replace, or interfere with code responsible for license validation or enforcement
- Use a license on more than one Portweaver server at the same time
- Exceed or evade a Managed Device Limit
- Manipulate system time, trusted-time information, local licensing state, secure storage, keychain data, device identity, or other system information for the purpose of extending, duplicating, or circumventing a license
- Restore, clone, duplicate, or use virtual-machine snapshots, disk images, containers, backups, or copied application state for the purpose of preserving or duplicating an activation contrary to this policy
- Bypass license signatures, Device ID binding, expiration enforcement, update authorization, deactivation requirements, or other technical restrictions
- Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive proprietary source code, signing material, or non-public licensing mechanisms
- Remove or obscure proprietary notices
- Redistribute, sublicense, rent, lease, resell, host, or commercially provide Portweaver to third parties without written permission
- Publish or distribute tools, modified software, credentials, or instructions primarily intended to defeat Portweaver licensing controls
These restrictions do not prohibit activity that applicable law expressly permits and does not allow to be restricted by contract, including any legally protected interoperability activity. Any permitted activity must be limited to the minimum scope allowed by law and may not be used to infringe intellectual property, avoid payment, duplicate a license, or exceed licensed limits.
Security research, vulnerability testing, or interoperability work does not authorize use of Portweaver beyond the applicable license.
17. Account & Credential Security
You are responsible for protecting:
- Your Account credentials
- License Key Files
- Device IDs
- Deactivation Keys
- Download credentials
- Any other non-public licensing information
You must promptly contact Portweaver if you believe licensing credentials or files have been compromised.
You may share licensing information only with personnel who reasonably need it to administer your Portweaver installation. You remain responsible for their compliance with this policy.
18. Enforcement & Termination
Portweaver may suspend or terminate licensing services or a license for:
- Material violation of this policy or the Terms of Service
- Nonpayment
- Fraud or misrepresentation
- Unauthorized copying, transfer, resale, or sharing
- Circumvention or attempted circumvention of licensing controls
- Use beyond the applicable server, device, or term limits
- Conduct that threatens Portweaver’s systems, customers, or intellectual property
Where appropriate, Portweaver may provide notice and an opportunity to correct the violation. Immediate action may be taken where necessary to address fraud, security risks, unlawful activity, or deliberate circumvention.
Upon termination of a license:
- Your legal right to use that license ends
- You must stop using the affected paid features
- You must delete or securely archive affected License Key Files so they are not used
- Portweaver may block future downloads, updates, activations, and reassignments
- Amounts already owed remain due
- Termination for breach does not create a refund right
An offline installation may remain technically capable of operating after Account-side termination. Continued operation does not create permission to use the Software and may constitute unauthorized use.
Sections concerning ownership, restrictions, payment obligations, disclaimers, liability, and enforcement survive termination where their nature requires survival.
19. License Transfers
You may move a license between servers you control only through the authorized deactivation and reassignment process.
You may not transfer a license to another person, organization, or Account without Portweaver’s written approval.
A merger, acquisition, reorganization, sale of assets, outsourcing arrangement, or change of control does not automatically transfer a license unless:
- The applicable Order permits the transfer; or
- Portweaver approves the transfer in writing
Portweaver may require updated account, billing, ownership, or contact information before approving a transfer.
20. Changes to This Policy
We may update this Licensing Policy to reflect changes in Portweaver, licensing operations, payment offerings, law, security requirements, or business practices.
Unless required by law, necessary to address abuse or security risks, or separately accepted by you:
- Material changes will apply prospectively
- The version in effect when a fixed-term license is purchased will continue to govern that License Term
- Updated terms may apply to renewals, upgrades, new purchases, or newly accepted Orders
The updated date will be posted at the top of this policy.
21. Relationship to Other Terms
This Licensing Policy is incorporated into the Terms of Service.
The Privacy Policy explains how Portweaver handles information related to Accounts, licensing services, and the website.
In the event of a conflict concerning licensing:
- A signed written agreement or specific Order controls
- This Licensing Policy controls
- The general Terms of Service control
No support statement, documentation page, email, or informal communication changes a license unless it is included in an Order or confirmed by an authorized written agreement.
