1. Overview

These Terms govern your access to and use of Portweaver.

Portweaver consists of:

  • A website for identity, licensing, and documentation
  • A locally operated application for network management

By accessing or using Portweaver, creating an Account, or obtaining a license, you agree to these Terms.

If you use Portweaver on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

2. Application Nature

Portweaver is designed as an on-premise system.

  • The Portweaver application runs locally on your infrastructure
  • It does not require continuous connectivity to our services
  • You are responsible for your own environment, configuration, and data

3. Software Licensing & Payments

Your purchase, activation, installation, use, payment, cancellation, deactivation, and reassignment of Portweaver licenses are governed by our Licensing Policy, which is incorporated into these Terms by reference.

The Licensing Policy explains:

  • License grants and restrictions
  • License terms and managed-device limits
  • Activation, device binding, and deactivation
  • Payment, cancellation, and refund requirements
  • License reassignment and inaccessible-server recovery
  • Restrictions against license circumvention and unauthorized use

Specific licensing terms may also be stated in an applicable quote, invoice, checkout page, order form, or written agreement.

If specific order terms conflict with the Licensing Policy or these Terms, those order terms control for the affected license.

4. Acceptable Use

You may use Portweaver only for lawful purposes and only on systems, devices, and networks that you own or are authorized to manage.

You agree not to:

  • Use Portweaver or our website for unlawful, fraudulent, deceptive, or abusive purposes
  • Access, monitor, scan, test, configure, or manage any system, device, account, or network without authorization
  • Attempt to gain unauthorized access to any Portweaver account, service, system, API, or infrastructure
  • Interfere with, disrupt, overload, damage, or degrade our website, licensing services, update services, APIs, or other infrastructure
  • Introduce malware, destructive code, automated abuse, or other harmful material
  • Circumvent rate limits, access controls, authentication requirements, or technical restrictions protecting our online services
  • Scrape, crawl, or automate access to our services in a manner that creates unreasonable load or violates an applicable restriction
  • Impersonate another party, misrepresent your identity or authority, or provide materially false account information
  • Use Portweaver in a way that infringes another party’s privacy, intellectual property, contractual, or legal rights
  • Encourage, assist, or enable another party to engage in prohibited conduct

Restrictions specifically relating to license files, Device IDs, license limits, reverse engineering, deactivation, and circumvention of Portweaver’s licensing systems are governed by our Licensing Policy.

We may suspend or restrict access to our online services where reasonably necessary to investigate or prevent misuse, fraud, security threats, or violations of these Terms.

5. Intellectual Property

Portweaver’s proprietary software, website, documentation, branding, interfaces, and other original materials are owned by Portweaver’s owner.

Your use of Portweaver does not transfer any ownership rights to you.

Portweaver is licensed rather than sold. The specific rights and restrictions governing the software are described in our Licensing Policy.

Third-party and open-source components remain subject to their respective licenses.

Portweaver does not claim ownership of the data, configurations, logs, device records, backups, credentials, or other content that you provide to or create through your local use of the Portweaver application (“Customer Data”).

As between you and Portweaver, you retain all rights you have in your Customer Data.

This does not grant you ownership of Portweaver, its software, database structures, interfaces, templates, documentation, or other proprietary components used to store, process, organize, or display Customer Data.

6. Accounts & Third-Party Services

Accounts are used to access our web services and manage licensing.

You are responsible for:

  • Providing accurate account information
  • Maintaining the security of your Account
  • All activity associated with your Account
  • Promptly notifying us if you believe your Account has been compromised

Portweaver’s website may rely on third-party providers for services such as authentication, infrastructure, communications, or payment processing.

Authentication to our web services is provided by Clerk. See our Privacy Policy for more information.

Your use of a third-party service may also be subject to that provider’s terms and privacy policy.

To the extent permitted by law, we are not responsible for third-party services that are outside our control. This does not limit any responsibility that applicable law places on us for our own services.

7. Disclaimer

Except as expressly stated in an applicable order or written agreement, Portweaver is provided “as is” and “as available”, to the fullest extent permitted by law.

We do not guarantee:

  • Uninterrupted operation
  • Error-free performance
  • Compatibility with every environment
  • That Portweaver will identify, prevent, or resolve every network or security issue

You are responsible for evaluating Portweaver for your environment and for the configuration, security, backup, and operation of your network and infrastructure.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.

8. Limitation of Liability

To the fullest extent permitted by law, Portweaver and its owner will not be liable for:

  • Loss of data
  • Network interruption or disruption
  • Loss of revenue, profits, business, or anticipated savings
  • Indirect, incidental, special, exemplary, or consequential damages

These limitations apply regardless of the legal theory asserted and even if the possibility of such damages was known.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

9. Termination

We may suspend or terminate access to our website, Accounts, licensing services, update services, or other online functionality for violations of these Terms, the Licensing Policy, or an applicable order.

Your rights and obligations concerning an installed Portweaver license following expiration, suspension, or termination are governed by the Licensing Policy.

Termination does not eliminate payment obligations or other responsibilities that arose before termination.

Sections concerning intellectual property, disclaimers, limitations of liability, payment obligations, and enforcement survive termination where their nature requires.

10. Changes to These Terms

We may update these Terms to reflect changes in Portweaver, our services, applicable law, or our business practices.

Material changes will apply prospectively unless an earlier change is required by law or reasonably necessary to address fraud, abuse, or security risks.

Changes affecting an existing license are also subject to the applicable Licensing Policy, order terms, or written agreement.

The updated date will be posted at the top of these Terms. Continued use after updated Terms take effect constitutes acceptance of those updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles.

Any dispute arising from these Terms or Portweaver will be brought in the state courts located in Henry County, Illinois, or, where federal jurisdiction exists, the United States District Court for the Central District of Illinois, Rock Island Division. Each party consents to the jurisdiction of those courts, except where applicable law requires otherwise.
